Olympus Developer Program Agreement*

Olympus Consortium (hereinafter referred to as "Party A" or “Olympus”), a legal person, established the Olympus Alliance, which is committed to creating an open electric vehicle ecosystem and promoting comprehensive cooperation in the automobile field. The applicant (hereinafter referred to as "Party B") is to join the Olympus Alliance (Party B can choose to become a Community Member or a Contributor Member) and authorizes its representative to cooperate with other members to promote innovation in electric vehicles. Party B hereby agrees that the following terms constitute the agreement between Party A and Party B regarding its request to join the Olympus Alliance (hereinafter referred to as the "Agreement"), and understands that Party A may at any time modify or terminate this Agreement and/or other Olympus Alliance-related terms of use, including but not limited to modifying, terminating, adding services to be provided to Olympus Alliance members, provided that Party A shall notify Party B. Modifications to this Agreement or to other Olympus Alliance-related terms of use shall take effect when they are published on the Olympus website by Olympian. Party B also agrees that this Agreement and other Olympus Alliance-related terms of use can be issued and updated electronically, provided that Party A shall notify Party B through electronic means.

1. Olympus Alliance Operations: The Olympus Alliance will set up an Advisory Committee and a Technical Committee to develop Olympus reference designs and standards through the establishment of a Working and Interest Group.

2. Olympus Community Members: Party B agrees to become a Community Member of the Olympus Alliance and abide by the Olympus Alliance Code of Conduct. Community Members can participate in public meetings and activities organized by the Olympus Alliance, access public content provided by Olympus, and participate in Interest Groups to help enhance the competitiveness of Olympus and all members in the electric vehicle industry. Community Members need not make donation to Olympus, but they will be charged fee for attending events or accessing services according to the fee schedule announced by Olympus.

3. Olympus Contributor Members: If Party B chooses to become a Contributor Member of the Olympus Alliance, he/she should abide by the Olympus Code of Conduct and make annual donation. In addition to the services for Community Members, Contributor Members may enjoy more diversified services to be provided by Olympus. They can also participate in the Advisory Committee, the Technical Committee and Working and Interest Groups to contribute their technology and domain knowledge to enhance the competitiveness of Olympus OS and all members in the electric vehicle industry. Contributor Members will be charged fee for attending specific events or accessing specific services according to the event/service list and fee schedule announced by Olympus.

4. Confidentiality: Party B shall not disclose to third parties any confidential information obtained from the Olympus Alliance and its members, including but not limited to computer programs, software or hardware products, product development plans, code, documents, calculations methods, technical know-how, trade secrets, formulas, processes, processes, ideas, research, innovation, intellectual property rights, diagrams and other technical, commercial, financial and marketing information, or partner information, unless such information has become public information or has been disclosed with the intentional consent of the Olympus Alliance and its members without negligence.

5. Ownership of Intellectual Property Rights: All intellectual property rights, their ownership or related interests shall belong to Party B for the technology independently developed by Party B, whether it already existed or had been developed thereafter. Party B agrees to respect all intellectual property rights acquired by the Olympus Alliance and its members at any point in time, and agrees not to take any direct or indirect infringement to the intellectual property rights acquired by the Olympus platform and its members. In the event there was any violation, Party B agrees to bear relevant legal responsibility.

6. Cooperative Marketing Activities: Party B agrees to provide and authorize Party A to publish or use on the Olympus Members Directory of the Olympus website, within the scope of cooperative marketing purpose, the applicant’s name, trademark, logo and other information provided by Party B. If Party A wishes to issue a press release in connection with the activities contemplated in this Agreement, the use of Party B’s name, trademark, logo and other information on such releases shall be subject to the prior approval of Party B.

7. Effective Date: Party B’s Olympus alliance membership will become effective from the date of acceptance and notification by Party A. Membership will continue to be valid unless either party has notified the other party in writing thirty days in advance to terminate membership. If Party B violates any laws, breaches this Agreement, exhibits a negative image, or engages in activities subject to international sanctions, Party A may not only immediately terminate Party B’s activity with Olympus Alliance and/or the effectiveness of this Agreement, but also prohibit Party B from claiming or disclosing Party B’s any past participation in Olympus Alliance.

8. Prohibition of Assignment: Neither Party B’s membership nor the rights and obligations related to this Agreement may be transferred to a third party.

9. Miscellanea: This Agreement is construed and governed by the laws of the United States of America, without application of conflict of laws principles. Any dispute or disagreement between the parties based on this Agreement due to breach of contract, termination or validity shall be exclusively settled by the New York Queens county Court.

10. Both parties confirm that their authorized representatives have the right to agree and have all the necessary powers, rights and legal capabilities to execute this Agreement, and represent that the above and information provided in this Agreement are true, correct and complete.

We hereby clarify and inform you of our collection, processing and use with respect to your personal data provided through this website pursuant to the Personal Data Protection Act of United States and Olympus’s privacy policies as well as the General Data Protection Regulation (hereinafter as “GDPR”) effective on May 25th, 2024. It is to assume that you have read, acknowledged and agreed on the content herein by making the checks below. If you do not agree to the content herein, you may choose not to use our services of Olympus Developer Platform at your discretion.

1. What personal data of you we collect: The data we collect from you includes your name, title, email address, phone number, mobile phone number, company name, company registration number, nationality, technique information (including IP address, cookies, and etc.) or other information which may be used to identify you or the person you represent, both directly and indirectly.

2. Impact on the lack or the inaccuracy of your personal data. Our services with respect to the aforementioned purpose for our collection will be unavailable if you fail to provide, or fail to provide the accurate, personal data or request to stop collecting, processing, using, request to delete your personal data or unsubscribe to our services.

3. How do we use your personal data:

3.1 Your personal data will be retained on Olympus’s server and processed by all means of the techniques for the purpose of information confirmation, service notifications, our news, event news notices and our internal management, statistics and analysis and other legal or necessary purposes.

3.2 We will take reasonable steps directly to stop processing, using or to delete your personal data if we confirm your underage in your country or territory and the lack of the consent or authorization of legal agent.

3.3 We will keep your personal data secure by appropriate technique and measure. Your personal data may possibly be transmitted beyond the countries/territories you reside, and the privacy and personal data protection laws or regulations of different countries or territories may need to be complied with. We will ensure your personal data to be processed and utilized within the necessary and rational scope in appropriate way until the termination of the purpose of collecting your personal data. Notwithstanding the foregoing, your personal data will be transferred to a third party, territory, specific department or international organization only in adherence to GDPR, if you are the person protected by GDPR.

4. How to practice your right:

4.1 In accordance with Article 3 of the Personal Data Protection Act of United States, you may practice the rights as below:

- Right of access to your personal data: You have the right to be informed of the matters with respect to our processing your personal data and request one copy of your personal data. For any more copies, a reasonable fee may be charged.

- Right to rectification: You have the right to request the amendment, correction and integrity of your personal data.

- Right to erasure: You have the right to request the deletion and removal of your personal data.

- Right to restriction of processing: You have the right to request the restriction on the processing of all or part of your personal data temporarily or permanently provided that the storage is excluded.

- Right to data portability: You have the right to request the transmission of your personal data to the third party.

- Right to object: You have the right to object to the processing of your personal data on grounds relating to your particular situation at any time.

- Right to object to automated decision-making: You have the right not to be subject to a decision based solely on automated processing, including profiling, which produces legal effects concerning you or similarly significantly affects you.
